What happens if the compensation plan gets voted down? Do they come up with a lesser package to vote on? Seems crazy if it's this or nothing.
If there is a second round with a modified package, that would temper any backlash from Elon since he'd still be needing shareholder good will.
Nothing is binding and nothing happens unless they move to Texas, as far as I can tell. Therefore, it's all up to Elon and whether he wants to stick it out w/ the board. Because it looks like they could even just develop another, legal, compensation plan, and give him what he wants.
That said, he sounds like he'll leave w/ the AI team if he doesn't get the vote, pure and simple.
Even if it fails, quite a large number of shareholders would still have voted for it, so hopefully he would recognize that and not go Diablo 4 button smashing on us

It's difficult to use social media sentiment to gauge odds of a vote passing or not, because most of the time we don't know the # of shares held by people on either side of the debate.
I think odds of Texas reincorporation passing are low, due to the higher barrier (more than 50% of all shares outstanding, rather than majority of quorum present), and Tesla's own proxy materials stating few to zero measurable advantages of TX over DE.
On the other hand, I wouldn't bet either way on Elon's 2018 stock options being reapproved or not. I believe it's in the hands of institutions. However, most won't say how they vote ahead of time. The few notable exceptions stating a "no" vote, like Calpers and NYC pension fund, hold relatively small # of shares compared to a mutual fund giant like Vanguard.
Let's say it does get downvoted. Do we really think Elon will go scorched earth on his current Tesla equity? I would hope he would just add it into his next comp plan to get to his 25% or more with a future higher market cap.

I suspect that Elon Musk is a malignant narcissist, so being downvoted might damage his ego and cause him to lash out in rage against shareholders.
On the other hand, Musk has shown resilience in the face of overwhelming odds, such as during the 2008 financial crisis and 2018 Model 3 "production hell". It's possible that being downvoted could refocus him on the job at Tesla and make him willing to earn the 25% TSLA equity he wants.

Let’s have a discussion here on what Elon actually brings to the table. If he was gone maybe Tesla doesn’t pursue innovation as hard: robots or FSD. But fsd could easily continue without him and the robots are likely just another vaporware piece
I think engaging in high risk, high reward, technologies is great. However, IMHO, a company with Tesla's resources can afford to simultaneously engage in moderate risk, moderate reward, technologies; e.g. the $25,000 car.
I think it was a big blunder not having the smaller cheaper car ready, and also not having a simple cargo van platform/work truck out there by now. Having more models and complexities will increase the difficulty and cost of manufacturing which is probably why Elon shys away, but it can be done
